These Managed Hosting for WordPress Terms and Conditions, together with any order page, checkout page, subscription page, invoice, service description, or other written terms referencing them, form a binding agreement between AvlSys LLC, a North Carolina limited liability company, and the customer subscribing to AvlSys LLC’s managed hosting for WordPress services.By clicking “Subscribe,” “Pay,” “Checkout,” “Start Subscription,” or any similar button, by submitting payment information, by using Stripe Checkout or Stripe Link, by creating or maintaining a subscription, or by otherwise using the Services, Customer acknowledges that Customer has read, understood, and agrees to be bound by these Terms.If Customer does not agree to these Terms, Customer must not subscribe to or use the Services.

1. Definitions

For purposes of these Terms:“AvlSys,” “Company,” “we,” “us,” or “our” means AvlSys LLC.“Customer,” “you,” or “your” means the individual, business, organization, or legal entity subscribing to or using the Services.“Services” means AvlSys LLC’s managed hosting for WordPress subscription service, including provisioning of a dedicated cloud hosting environment, installation and configuration of WordPress, WordPress core update management, onboarding assistance, basic WordPress hosting support, server availability monitoring, and other services expressly included in the applicable subscription tier.“Website” means the WordPress website or WordPress instance hosted for Customer through the Services.“Customer Content” means all data, files, databases, text, media, plugins, themes, configurations, code, credentials, business information, personal information, and other materials uploaded to, stored in, processed by, or used in connection with Customer’s Website.“Subscription” means Customer’s recurring monthly subscription for the Services.

2. Eligibility and Geographic Limitation

The Services are available only to customers located in the United States.Customer must be at least eighteen years old and legally capable of entering into a binding contract. If Customer subscribes on behalf of a company, organization, or other legal entity, the individual subscribing represents and warrants that they have authority to bind that entity to these Terms.

3. Nature of the Services

AvlSys provides managed hosting for WordPress websites. Each Customer will receive a dedicated cloud hosting environment provisioned, managed, or controlled by AvlSys through one or more third-party infrastructure providers selected by AvlSys. The size, specifications, and resource allocations of the hosting environment depend on Customer’s selected subscription tier.Unless otherwise expressly agreed in writing, all subscription tiers include the same general categories of managed hosting services, with differences primarily based on the advertised hosting specifications or other tier-specific resource allocations.The Services are limited to WordPress hosting infrastructure and WordPress core hosting support. The Services do not include general website consulting, website design, plugin support, theme customization, cybersecurity consulting, malware remediation, SEO, ecommerce setup, custom development, content editing, or support for third-party products or integrations, except where AvlSys expressly agrees to provide those services separately.

4. Subscription Tiers and Advertised Droplet Specifications

AvlSys may advertise the hosting specifications included with each subscription tier. These specifications describe the hosting resources allocated to the Customer’s WordPress instance as part of the applicable tier.Customer acknowledges that AvlSys may use one or more third-party cloud infrastructure providers to provide the Services, and that such providers’ platforms, infrastructure, performance, policies, maintenance, and availability are outside AvlSys’s exclusive control. AvlSys is not responsible for third-party infrastructure outages, limitations, changes, enforcement actions, suspensions, resource restrictions, or other third-party platform issues.AvlSys may update, modify, replace, migrate, or reconfigure infrastructure or infrastructure providers as reasonably necessary to provide, maintain, secure, or improve the Services.

5. Onboarding

As part of the Services, AvlSys provides white-glove onboarding consisting of a phone call or video call, unless Customer declines that portion of the service. During onboarding, AvlSys will instruct Customer through configuring necessary DNS records, and AvlSys will configure the server, install and configure WordPress, and create a WordPress administrator user for Customer to access the WordPress instance.Customer is responsible for timely cooperation during onboarding, including providing accurate domain, DNS, registrar, and account information as needed.Website migration from an existing WordPress site or other website is not included in the Subscription. Migration services may be available separately under a separate agreement or statement of work.

6. Customer Access

Unless otherwise agreed in writing, Customer receives access only to the WordPress administrator account for Customer’s WordPress instance.Customer does not receive root access, server-level access, SSH access, SFTP access, cloud provider account access, hosting control panel access, or other infrastructure-level access.AvlSys retains administrative and technical control over the cloud provider account, hosting environment, server configuration, and related infrastructure.

7. WordPress Core Updates

The Services include management of WordPress core updates.Plugin updates, theme updates, custom code updates, third-party integration updates, ecommerce updates, and other non-core WordPress updates are not included unless Customer specifically requests such assistance and AvlSys agrees to provide it.If Customer requests that AvlSys perform plugin, theme, integration, or other non-core updates, Customer acknowledges and agrees that such updates may cause conflicts, errors, data issues, design changes, downtime, lost functionality, or other problems. Customer assumes all risks arising from such requested updates unless otherwise expressly agreed in writing.

8. Excluded Services

The Services do not include, and AvlSys has no obligation to provide support for, any of the following unless separately agreed in writing:

  1. Plugin configuration, troubleshooting, compatibility issues, or performance issues.

  2. Theme installation, customization, troubleshooting, or design changes.

  3. Website design, redesign, branding, layout, or user experience work.

  4. SEO services or search engine ranking assistance.

  5. Custom coding, scripting, or software development.

  6. Malware cleanup, hacked-site recovery, incident response, or cybersecurity consulting.

  7. Security hardening beyond AvlSys’s standard hosting configuration.

  8. DNS hosting, domain registration, domain renewal, registrar support, or nameserver support.

  9. Email hosting, email deliverability, inbox placement, SPF, DKIM, DMARC, or mail server troubleshooting.

  10. Third-party integrations, APIs, CRMs, payment gateways, analytics, marketing tools, or external platforms.

  11. Ecommerce setup, product configuration, payment processing configuration, checkout troubleshooting, or store management.

  12. Content creation, editing, formatting, posting, or management.

  13. Business consulting, legal advice, tax advice, compliance advice, or financial advice.

AvlSys may offer some excluded services separately. Customer may contact AvlSys by email, phone, or through AvlSys’s website to discuss services not included in these Terms. Any such services must be separately agreed to and may be subject to separate fees and terms.

9. Support

AvlSys may provide support by phone, email, or ticket system.Support is limited to WordPress hosting issues within the scope of the Services. AvlSys is not required to provide support for excluded services, Customer-caused issues, third-party services, plugins, themes, custom code, cybersecurity incidents, business operations, ecommerce operations, DNS issues, domain issues, email issues, or matters outside the managed hosting scope.AvlSys does not guarantee any specific support response time, resolution time, availability of support personnel, or outcome. Customer acknowledges that support delays may occur. AvlSys is not responsible for any lost income, lost revenue, lost business, lost wages, costs, damages, expenses, data loss, downtime, business interruption, or other losses arising from or related to support wait times, regardless of duration.

10. Customer Plugins, Themes, Content, and Actions

Customer may install plugins, themes, content, scripts, code, media, and configurations through the WordPress administrator account.Customer is solely responsible for all Customer Content and for all actions taken through Customer’s WordPress administrator account or by anyone Customer authorizes to access the Website.AvlSys is not responsible for problems caused by Customer Content, plugins, themes, scripts, custom code, administrator actions, third-party integrations, weak passwords, compromised accounts, unauthorized users, or Customer’s use of WordPress.Customer is responsible for maintaining strong passwords, limiting administrator access, removing unused users, reviewing plugin and theme choices, and using reasonable security practices.

11. SSL Certificates

The Services include configuration of a free SSL certificate for Customer’s Website where technically feasible.Successful SSL implementation depends on Customer properly configuring and maintaining required DNS records, domain settings, nameservers, and related domain configuration. SSL issuance or renewal may fail if Customer misconfigures DNS, changes DNS records, changes nameservers, changes domains, enables proxying services that interfere with validation, uses incompatible Cloudflare or similar settings, or otherwise prevents certificate validation or renewal.AvlSys does not guarantee uninterrupted SSL availability, certificate issuance, certificate renewal, browser trust status, or compatibility with all third-party services.

12. Monitoring

The Services may include ping monitoring, web server availability monitoring, and general server performance monitoring.Monitoring is provided as a management tool only. AvlSys does not guarantee that monitoring will occur at any specific interval, detect every issue, prevent downtime, prevent data loss, prevent security incidents, or result in immediate response or resolution.Monitoring does not create an uptime guarantee, security guarantee, backup guarantee, response-time guarantee, or service-level agreement.

13. No Uptime Guarantee

AvlSys does not guarantee any specific uptime, availability, performance, speed, response time, or error-free operation.Customer acknowledges that downtime may occur for many reasons, including planned maintenance, emergency maintenance, cloud hosting provider issues, DNS issues, domain issues, software updates, WordPress errors, plugin or theme conflicts, excessive resource usage, cyberattacks, third-party outages, network issues, payment issues, Customer actions, or events outside AvlSys’s control.Customer agrees that AvlSys is not liable for downtime, lost business, lost revenue, lost profits, lost wages, lost opportunities, reputational harm, data loss, or other losses arising from Website unavailability.

14. Planned Maintenance

Planned maintenance is expected and is part of the Services. AvlSys may perform maintenance, updates, reboots, patches, configuration changes, migrations, repairs, or other technical work at any time AvlSys deems appropriate.Maintenance may result in temporary downtime, reduced performance, or limited availability. AvlSys is not liable for downtime, losses, or damages resulting from planned maintenance or reasonable emergency maintenance.

15. Backups and Customer Data Responsibility

Customer is solely responsible for backing up all Customer Content and any data Customer does not want to lose.No backups are included as a guaranteed part of the Services unless separately agreed in writing. AvlSys may capture backups, snapshots, or other copies of data for internal administrative, operational, or disaster recovery purposes, but AvlSys does not guarantee that any backup, snapshot, or copy will exist, be current, be complete, be readable, be restorable, or be recoverable.AvlSys does not guarantee Customer data, data integrity, database integrity, file integrity, backup integrity, data readability, or the ability to restore any Website or Customer Content.Customer must capture and store its own backups outside AvlSys’s platform and outside the hosted environment.Customer agrees that AvlSys is not responsible for lost, corrupted, deleted, incomplete, inaccessible, overwritten, unreadable, or unrecoverable data.

16. Customer Ownership of Content

As between AvlSys and Customer, Customer owns Customer Content.Customer grants AvlSys permission to host, access, copy, process, transmit, modify, configure, back up, restore, delete, and otherwise use Customer Content as reasonably necessary to provide, maintain, monitor, support, secure, bill, enforce, suspend, or terminate the Services.Customer represents and warrants that Customer has all rights necessary to upload, publish, process, store, and use Customer Content in connection with the Services.

17. Access by AvlSys

Customer authorizes AvlSys and its personnel, contractors, vendors, and service providers to access Customer’s WordPress dashboard, files, databases, logs, hosting environment, server configuration, DNS-related information, and Customer Content as needed to provide support, maintenance, updates, monitoring, security, troubleshooting, billing enforcement, legal compliance, abuse prevention, suspension, or termination.AvlSys will make reasonable efforts to limit access to what AvlSys deems necessary or appropriate under the circumstances.

18. Security

AvlSys does not guarantee that Customer’s Website will be secure, malware-free, hack-proof, vulnerability-free, uninterrupted, error-free, or immune from unauthorized access.Customer acknowledges that WordPress websites may be affected by vulnerabilities, plugin flaws, theme flaws, weak passwords, compromised administrator accounts, third-party integrations, outdated software, malicious traffic, credential stuffing, phishing, spam, brute-force attempts, malware, and other risks.AvlSys is not required to perform malware cleanup, hacked-site restoration, incident response, forensic analysis, cybersecurity consulting, or security remediation unless separately agreed in writing. AvlSys may, but is not obligated to, assist Customer to the best of its ability within the bounds of these Terms or any other valid agreement.

19. Domains, DNS, and Email

The Services do not include domain registration, domain renewal, DNS hosting, registrar management, nameserver management, or email hosting.Customer is responsible for acquiring, renewing, maintaining, and controlling Customer’s domain name and DNS configuration.Customer is responsible for pointing Customer’s domain to the hosting environment using DNS records specified by AvlSys.AvlSys is not responsible for domain expiration, registrar issues, DNS propagation delays, DNS outages, DNS misconfiguration, nameserver changes, email deliverability, email hosting, spam filtering, SPF, DKIM, DMARC, MX records, third-party email services, or any loss caused by domain, DNS, or email issues.

20. Acceptable Use

Customer may use the Services only for lawful purposes and in compliance with these Terms, applicable law, and all applicable third-party provider terms, including the then-current terms, acceptable use policies, and service rules of any infrastructure, hosting, software, network, payment, or other third-party provider used by AvlSys to provide the Services.Customer may not use the Services, permit the Services to be used, or allow the Website to contain, transmit, store, promote, or facilitate:

  1. Anything prohibited by applicable law.

  2. Anything prohibited by any infrastructure, hosting, software, network, payment, or other third-party provider used by AvlSys to provide the Services.

  3. Spam, unsolicited bulk messaging, phishing, fraud, impersonation, scams, or deceptive practices.

  4. Malware, viruses, worms, trojans, ransomware, spyware, credential theft, botnets, or malicious code.

  5. Hacking, unauthorized access, vulnerability scanning, denial-of-service activity, or network abuse.

  6. Cryptocurrency mining or resource-intensive scripts not expressly approved by AvlSys.

  7. Illegal goods or services.

  8. Content infringing intellectual property, privacy, publicity, or other rights.

  9. Content that AvlSys, in its sole discretion, deems obscene, abusive, threatening, defamatory, hateful, harassing, exploitative, inappropriate, or unsuitable for the Services.

  10. Any use that harms, disrupts, burdens, risks, or interferes with AvlSys, AvlSys’s infrastructure providers, other customers, networks, systems, or infrastructure.

AvlSys may determine, in its sole discretion, whether Customer’s use violates this section.

21. Resource Usage, Throttling, and Suspension

Customer must not use excessive server resources or engage in activity that negatively affects the hosting environment, AvlSys’s infrastructure providers, AvlSys’s systems, or other services.AvlSys may throttle, restrict, suspend, disable, terminate, reconfigure, or remove any Website, process, plugin, theme, file, account, or service that AvlSys believes may cause excessive resource usage, security risk, legal risk, operational risk, infrastructure risk, policy violation, or third-party provider enforcement.AvlSys’s infrastructure providers may also throttle, suspend, restrict, terminate, or take other action against infrastructure used to provide the Services. AvlSys is not liable for actions taken by any third-party infrastructure, hosting, software, network, payment, or other service provider.

22. Billing and Monthly Subscriptions

Subscriptions are billed monthly through Stripe under the business name AvlSys LLC.Customer authorizes AvlSys and its payment processor to charge Customer’s selected payment method automatically each month until the Subscription is canceled or terminated.There is no introductory promotional pricing and no annual commitment unless expressly stated in writing.Customer is responsible for maintaining accurate billing information and a valid payment method.

23. Cancellation

Customer may cancel the Subscription at any time through the Stripe Customer Portal.Unless otherwise stated during checkout, cancellation takes effect at the end of the then-current billing period. Customer will continue to have access to the Services through the end of the current billing period, subject to these Terms.AvlSys is not responsible for Customer’s failure to cancel before a renewal date.

24. Refunds and Billing Disputes

Except where required by law or expressly approved by AvlSys in writing, fees are non-refundable.If Customer wishes to request a refund, credit, adjustment, or other billing accommodation for Services rendered or allegedly not rendered during a prior billing cycle, Customer must submit the request in writing to [email protected] within five business days after the start of the new billing cycle.Any request not submitted within that five-business-day period is waived to the fullest extent permitted by law.Submitting a refund request does not guarantee approval. AvlSys may approve or deny refund requests in its sole discretion, except where otherwise required by law.

25. Failed Payments, Nonpayment, Termination, and Data Deletion

If Customer’s recurring payment fails, Customer has seven calendar days to cure the failed payment.If payment is not received within seven calendar days after the failed payment, AvlSys may terminate the Subscription and delete Customer’s Website, hosting environment, WordPress instance, files, databases, backups, snapshots, and Customer Content.AvlSys has the option, but not the obligation, to delete data after nonpayment. AvlSys does not guarantee that data will be preserved, recoverable, or purged after cancellation, nonpayment, or termination.Customer remains solely responsible for backing up and exporting Customer Content before cancellation, termination, nonpayment, failed payment, or deletion.

26. Termination by AvlSys

AvlSys may suspend, restrict, disable, or terminate the Services, with or without notice, if AvlSys determines that:

  1. Customer violated these Terms.

  2. Customer failed to pay amounts due.

  3. Customer’s Website creates legal, security, operational, reputational, or infrastructure risk.

  4. Customer’s use violates applicable law or third-party provider terms.

  5. Customer’s use is abusive, excessive, harmful, fraudulent, or inappropriate.

  6. Continuing to provide the Services is commercially, technically, legally, or operationally impractical.

  7. AvlSys otherwise determines, in its sole discretion, that suspension or termination is appropriate.

AvlSys may also terminate the Services at its discretion for any reason or no reason, subject to any limitations imposed by applicable law.

27. Customer Representations and Warranties

Customer represents and warrants that:

  1. Customer is at least eighteen years old.

  2. Customer is located in the United States.

  3. Customer has authority to enter into these Terms.

  4. Customer will use the Services only for lawful purposes.

  5. Customer owns or has permission to use all Customer Content.

  6. Customer will not use the Services in violation of these Terms, applicable law, or third-party provider policies.

  7. Customer will maintain independent backups of all data Customer does not want to lose.

  8. Customer will not rely on AvlSys as Customer’s sole backup, disaster recovery, security, compliance, legal, business continuity, or data preservation solution.

28. Third-Party Services

The Services may depend on third-party providers, platforms, software, networks, infrastructure, registrars, DNS providers, certificate authorities, payment processors, plugins, themes, and other third-party services.AvlSys is not responsible for third-party services, third-party outages, third-party errors, third-party policies, third-party security incidents, third-party support, third-party billing, third-party enforcement actions, or changes made by third parties.Customer’s use of third-party services may be subject to separate third-party terms.

29. Privacy

AvlSys may collect and process information from Customer in connection with checkout, billing, onboarding, support, hosting, monitoring, account management, and service administration.Customer acknowledges that AvlSys may need to access Customer Content, account information, billing information, technical information, logs, and communications to provide the Services.AvlSys should maintain a separate Privacy Policy describing how it collects, uses, stores, and shares personal information. To the extent a Privacy Policy is posted by AvlSys and incorporated into these Terms, Customer agrees to that Privacy Policy.Customer is solely responsible for determining whether Customer’s Website requires its own privacy policy, cookie notice, data processing terms, consent mechanism, legal disclosures, or compliance measures.

30. No Professional Advice

The Services do not include legal, tax, accounting, financial, cybersecurity, compliance, accessibility, privacy, regulatory, or business advice.Customer is responsible for obtaining professional advice from qualified professionals as needed.

31. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided “as is” and “as available.”AvlSys disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted service, error-free operation, data integrity, security, availability, performance, uptime, backup availability, recoverability, and compatibility.AvlSys does not warrant that the Services will meet Customer’s requirements, operate without interruption, prevent downtime, prevent data loss, prevent security incidents, restore lost data, maintain business continuity, or produce any particular business result.

32. Limitation of Liability

To the fullest extent permitted by law, AvlSys will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost income, lost wages, lost business, business interruption, loss of goodwill, reputational harm, loss of customers, loss of opportunities, data loss, data corruption, downtime, restoration costs, replacement services, or cost of substitute services, even if AvlSys has been advised of the possibility of such damages.To the fullest extent permitted by law, AvlSys’s total aggregate liability for any and all claims arising out of or related to the Services, the Subscription, the Website, Customer Content, support, downtime, data loss, billing, cancellation, termination, or these Terms will not exceed the amount Customer paid to AvlSys for one month of the affected Subscription tier.This liability cap applies regardless of the legal theory asserted, including contract, tort, negligence, strict liability, warranty, statute, equity, or otherwise.

33. Allocation of Risk

Customer acknowledges that the pricing of the Services reflects the allocation of risk in these Terms, including the disclaimers, exclusions, backup limitations, no-uptime guarantee, no-response-time guarantee, and limitation of liability.Customer agrees that AvlSys would not provide the Services at the stated subscription price without these limitations.

34. Indemnification

Customer agrees to defend, indemnify, and hold harmless AvlSys LLC and its owners, members, managers, officers, employees, contractors, agents, vendors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  1. Customer Content.

  2. Customer’s Website.

  3. Customer’s use of the Services.

  4. Customer’s violation of these Terms.

  5. Customer’s violation of applicable law.

  6. Customer’s violation of third-party rights.

  7. Plugins, themes, scripts, code, integrations, or configurations installed or used by Customer.

  8. Customer’s products, services, business operations, representations, or transactions.

  9. Any claim by Customer’s clients, users, visitors, employees, contractors, vendors, or third parties.

35. Notices

Customer may send legal notices, refund requests, billing disputes, and other written notices to:[email protected]Notice by email is sufficient for purposes of these Terms unless applicable law requires another method.AvlSys may send notices to Customer using the email address associated with Customer’s Subscription, Stripe account, checkout submission, support request, or account records.Customer is responsible for keeping contact information current.

36. Electronic Communications and Acceptance

Customer agrees to receive communications electronically and agrees that electronic records, electronic signatures, checkout confirmations, subscription records, payment records, email communications, and online acceptance satisfy any requirement that an agreement, notice, disclosure, or communication be in writing, to the extent permitted by law.Customer’s act of subscribing, paying, clicking acceptance buttons, using checkout, or using the Services constitutes electronic acceptance of these Terms.

37. Changes to These Terms

AvlSys may update these Terms from time to time.Updated Terms may be posted on AvlSys’s website, provided during checkout, sent by email, or otherwise made available to Customer.Customer’s continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms. If Customer does not agree to updated Terms, Customer must cancel the Subscription and stop using the Services.

38. Governing Law and Venue

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.Customer agrees that any lawsuit, legal proceeding, or dispute arising out of or related to these Terms, the Services, the Subscription, the Website, or Customer’s relationship with AvlSys must be brought exclusively in the state or federal courts located in Buncombe County, North Carolina, unless applicable law requires otherwise.Customer consents to personal jurisdiction and venue in those courts.

39. Severability

If any provision of these Terms is held invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect. The invalid, unlawful, or unenforceable provision will be modified to the minimum extent necessary to make it enforceable, or, if modification is not permitted, severed from these Terms.

40. No Waiver

AvlSys’s failure to enforce any provision of these Terms does not waive AvlSys’s right to enforce that provision or any other provision later.

41. Assignment

Customer may not assign or transfer the Subscription, Website, or these Terms without AvlSys’s prior written consent.AvlSys may assign or transfer these Terms, the Services, accounts, infrastructure, billing rights, or related obligations in connection with a merger, acquisition, sale of assets, restructuring, change of control, or transfer of business operations.

42. Force Majeure

AvlSys is not liable for delay, failure, downtime, data loss, performance issues, or inability to provide the Services caused by events beyond AvlSys’s reasonable control, including natural disasters, acts of God, war, terrorism, civil unrest, labor disputes, internet failures, network failures, cyberattacks, power outages, third-party provider failures, infrastructure provider outages, DNS failures, registrar failures, government actions, legal restrictions, supply chain issues, or other events beyond AvlSys’s reasonable control.

43. Entire Agreement

These Terms, together with any checkout page, subscription page, invoice, service description, order confirmation, or written agreement expressly referencing them, constitute the entire agreement between Customer and AvlSys regarding the Services.These Terms supersede all prior or contemporaneous understandings, communications, proposals, statements, or representations regarding the Services.
